In addition, Kevin Douglas and Michelle Douglas are co-trustees of the James Douglas and Jean Douglas Irrevocable Descendants’ Trust which holds 1,052,099 shares and 25,000 shares issuable upon exercise of warrants exercisable within 60 days. The foregoing excludes 75,000 shares issuable upon exercise of a warrant held by the K&M Douglas Trust and 125,000 shares issuable upon exercise of a warrant held by the James Douglas and Jean Douglas Irrevocable Descendants’ Trust, which warrants are not exercisable until April 9, 2013.
